[OUR PRACTICE]
Legal savvy that keeps your business on track.
You need legal advice that moves your company forward rather than holding it back. We know that lawyers have a reputation for being the masters of “no.” But that’s not in our DNA. Instead of merely identifying problems, we find solutions so your business succeeds, not stalls.
Big-firm expertise.
For many companies, engaging a large law firm is financially unrealistic, and hiring a general counsel doesn’t make sense. With us, you get the best of both worlds: years of big-firm experience without the big-firm price tag, and the individualized attention of an in-house counsel. Leaders and executives put their trust in us—and free themselves up to focus on what they do best.
Over the years, we have worked on hundreds of transactions, including commercial and licensing arrangements, traditional debt, convertible notes and preferred stock financings, corporate spin-offs, and sales and acquisitions of companies. Deal sizes have ranged from a few hundred thousand dollars to hundreds of millions of dollars.
Key services include:
+ Commercial and licensing agreements
+ Equity compensation including stock options, restricted stock units, and change-of-control bonus plans
+ Corporate formation, structuring, and governance
+ Traditional debt, convertible notes, SAFES, and preferred stock financings
+ Mergers and acquisitions, and sale-of-company transactions
+ Corporate spin-offs
+ Secondary sales
+ Employment and separation agreements

[EXPERIENCE]
The story behind Piciocchi Legal.
Mary Piciocchi is a Jersey girl by birth, but she’s studied and worked all over the country (and, sometimes, the world), including 15 years in San Francisco and Silicon Valley. After law school, Mary embarked on a career specializing in corporate and commercial law for businesses in the US and abroad. After working as an associate at Cleary, Gottlieb, Steen & Hamilton in New York and then Perkins Coie, LLP in San Francisco and Hong Kong, Mary left the big-firms for a spell. She became a Managing Director/General Counsel for LawFinance Group, Inc. in San Francisco, and she later founded an IT training school. In these roles, Mary focused on the practicalities of establishing and growing a business and she developed a unique understanding of how legal advice must be pragmatic and fit with a company’s business needs.
Mary then returned to Perkins Coie as Senior Attorney in Palo Alto. There she directed complex commercial transactions, mergers and acquisitions, equity and debt financing transactions, employee contracts, and settlement agreements.
After over 15 years at Perkins Coie, Mary founded Piciocchi Legal, where she serves as “outside” general counsel to private companies and assists them in their most critical endeavors. As clients’ businesses form, grow, and are ultimately sold, Mary is there with a pragmatic voice of reason and experience. She knows that it’s through smart day-to-day legal operations that long-term success is secured.
Mary also loves to travel in her free time, spend time outdoors, and keep up with her lively family and dog, Scout.
